Terms of Use

1. Agreement to Terms

Sorinva is a product of Talentnest Innovations Limited, a company incorporated in the Federal Republic of Nigeria ("Sorinva", "we", "us", or "our"). These Terms of Use form a binding agreement between Talentnest Innovations Limited and you or the organisation you represent.

By accessing or using Sorinva — including the bot on any connected platform, the HR dashboard, or any associated API — you agree to be bound by these Terms of Use. If you are accepting on behalf of a company, you represent that you have authority to do so.

If you do not agree to these terms, you must not use the service.

2. Who these terms apply to

These terms apply to:

• HR administrators — company representatives who access the HR dashboard and manage configurations
• Company accounts — organisations whose employees receive lessons and HR services through Sorinva
• Authorised users — any person given access to the platform through a company account

Employees who receive lessons or participate in HR workflows through Slack, Microsoft Teams, WhatsApp, or Discord are governed by their employer's workplace policies and the terms their HR administrator accepted on behalf of the organisation.

3. Authorised use

The Sorinva platform and HR dashboard are provided exclusively for:

• Delivering daily skill lessons to your team through connected messaging platforms
• Monitoring employee learning progress and engagement within your organisation
• Managing learning pack configurations and custom curriculum
• Reviewing and approving employee pack switch requests
• Generating learning and engagement reports for internal HR and development purposes
• Running onboarding check-ins, pulse surveys, and exit interviews via the People Intelligence add-on
• Managing performance review cycles and behavioural feedback via the Performance Review add-on
• Setting, tracking, and approving individual and team goals via the Goals add-on
• Collecting and reviewing team recognition and constructive feedback via the Feedback add-on

Any use outside of these purposes requires prior written consent from Sorinva.

4. Dashboard access and link confidentiality

Your HR dashboard is accessed via a unique, company-specific link. This link grants access to your organisation's learning data and configuration settings.

• You must not share your dashboard link with anyone outside your authorised HR team
• You are responsible for all activity that occurs under your dashboard link
• If you suspect your link has been compromised, contact support@sorinva.com immediately — we will issue a new token
• Sorinva is not liable for unauthorised access resulting from link sharing by your organisation

5. Responsible use of employee data

Sorinva provides learning engagement data — scores, completion rates, streaks, and activity — to help you understand how your team is developing. You agree to:

• Not use learning scores as the sole basis for employment decisions, disciplinary action, or performance reviews without additional context
• Disclose to your employees that their learning activity is tracked and visible to HR
• Not share individual employee learning data with third parties without the employee's knowledge and consent
• Not use the platform to monitor employees in ways that go beyond the learning use case

6. Acceptable use

You agree not to:

• Attempt to access data belonging to another company or account
• Reverse engineer, scrape, or extract data from the platform through automated means
• Circumvent authentication, rate limits, or security controls
• Interfere with the availability of the service for other users
• Use the platform to send unsolicited messages or content through connected messaging platforms
• Resell, sublicense, or otherwise commercialise access to the platform without our written permission

7. Intellectual property

All lesson content, curriculum, platform design, code, and related materials are the intellectual property of Sorinva. You are granted a non-exclusive, non-transferable licence to use the platform for your organisation's internal purposes during your active subscription.

Custom learning packs generated from your company's documents remain associated with your account. Sorinva does not claim ownership over documents you upload, but you grant us a limited licence to process them for curriculum generation.

8. Subscriptions and payment

Sorinva is offered on a subscription basis, billed monthly or annually per seat. By subscribing, you authorise recurring charges to your chosen payment method.

• Subscriptions renew automatically unless cancelled before the renewal date
• Seat counts are adjusted at the next billing cycle when employees are added or removed
• Free trial periods, where offered, do not require a payment method upfront
• If a scheduled payment fails or a subscription period expires without renewal, access continues for a 7-day grace period while payment is resolved. Your data is fully preserved throughout. After the grace period, access to premium features is restricted until payment is updated.

9. Service availability

Sorinva aims for high availability and endeavours to deliver lessons every scheduled working day. However, we do not guarantee uninterrupted access. The service is provided on an as-is, as-available basis.

Planned maintenance will be communicated in advance where possible. In the event of extended unplanned downtime, affected accounts may be eligible for service credits — see our Refund Policy for details.

10. Limitation of liability

To the maximum extent permitted by applicable law, Sorinva's liability for any claim arising out of or related to your use of the service is limited to the fees paid by you in the three months preceding the claim.

Sorinva is not liable for indirect, incidental, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the platform.

11. Changes to these terms

We may update these terms to reflect changes in the product, legal requirements, or business practices. When we make significant changes, we will notify HR administrators via email and platform message with at least 14 days' notice before the changes take effect.

Continued use of the service after changes take effect constitutes acceptance of the updated terms. The "Last updated" date at the top of this page reflects the most recent version.

12. Termination

Either party may terminate the agreement at any time:

• By you: Cancel your subscription from the dashboard or by contacting support@sorinva.com. Access remains active until the end of the current billing period.
• By Sorinva: We may suspend or terminate accounts that violate these terms, with or without notice depending on severity. We will always notify you of termination unless the violation requires immediate action to protect other users or the platform.

13. Data protection

Your use of Sorinva is also governed by our Privacy Policy, which is incorporated into these terms by reference. The Privacy Policy explains what data we collect, how we use it, and your rights as a data controller or data subject.

Talentnest Innovations Limited (Sorinva) is a registered Data Controller/Processor with the Nigeria Data Protection Commission (NDPC) under the Nigeria Data Protection Act 2023 (NDPA). We are bound by all obligations of the NDPA 2023, including lawful basis of processing, data subject rights, and mandatory breach notification requirements. For organisations with employees in the European Economic Area, the General Data Protection Regulation (GDPR) also applies.

You can verify our NDPC registration at any time on the NDPC verification portal.

14. Governing law

These terms are governed by the laws of the Federal Republic of Nigeria. Any disputes that cannot be resolved through good-faith negotiation will be submitted to the jurisdiction of the courts of Lagos State, Nigeria.

For organisations based outside Nigeria, this choice of law does not override any mandatory consumer or business protections that apply in your jurisdiction.
